1. Introduction and Acceptance of Terms

Copart Cars Bidding and Auto Care Limited (“Copart Cars Bidding and Auto Care Limited,” “we,” “our,” or “the Company”) provides specialized agency services in the international vehicle acquisition and logistics sector. Our services include, but are not limited to, licensed auction bidding, inland transportation (trucking), international ocean freight (shipping), and customs clearing for Buyers (“Client,” “User,” or “You”) seeking to purchase vehicles primarily from U.S. auto auctions.

BY INITIATING A TRANSACTION, SUBMITTING A DEPOSIT, OR OTHERWISE USING ANY OF OUR SERVICES, YOU EXPLICITLY ACKNOWLEDGE, AGREE ТО, AND AССЕРТ ALL TERMS AND CONDITIONS SET FORTH IN THIS TERMS OF SERVICЕ (TOS). IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL PAYMENT TRANSACTIONS AND DISCONTINUE THE USE OF OUR SERVICES.

2. OUR SERVICE PROCESS (FOUR STAGES)

Copart Cars Bidding and Auto Care Limited’s service delivery is strictly governed by the following four-stage system:

2.1 BIDDING (BUYING) – Auction Purchase
  • Agency Role: Copart Cars Bidding and Auto Care Limited acts solely as a licensed auction representative authorized to bid and acquire vehicles on the Client’s behalf. We are not a car dealer, and we do not hold title to the vehicles prior to the auction sale. Our purpose is to facilitate direct vehicle purchase from U.S. auctions at wholesale prices for end-users.
  • Vehicle Vetting: Prior to placing a bid, the Company reviews available vehicle reports, auction data, physical inspection details (if provided by the auction), and condition disclosures.
  • AS-IS Sale Condition: All vehicles are purchased and sold on an “AS-IS, WHERE-IS” basis. The Client expressly agrees to accept the vehicle in its existing condition, as determined by the auction house, without any guarantee or warranty from Copart Cars Bidding and Auto Care Limited.
2.2 TRUCKING (INLAND TRANSPORT)
  • Mandatory Transport: Following a successful purchase, the vehicle must be transported from the auction lot to the designated shipping port, as auction vehicles cannot be legally driven on U.S. roads without proper insurance and registration.
  • Cost Determination: The estimated standard trucking cost is approximately $500. This cost is subject to variation based on the actual distance between the auction lot and the shipping port, with vehicles located further from major port hubs incurring higher fees.
2.3 SHIPPING TO NIGERIA
  • Carriers: Shipping is facilitated through established major international carriers,
    including but not limited to Grimaldi and Sallum.
  • Cost Estimate: The estimated standard shipping cost is approximately $1,800, which is subject to periodic adjustment based on market fluctuations, shipping line rate changes, and fuel surcharges.
  • Estimated Timeline: The standard estimated shipping/arrival window is 50 days from the date the vehicle leaves the U.S. port. This timeline is an estimate only, and the Company shall not be liable for delays caused by external factors (see Section 5).2.4 CLEARING (NIGERIA PORT)
  • Handling: Copart Cars Bidding and Auto Care Limited or its appointed agents can handle customs clearing upon the Client’s request.
  • Variable Fees: Clearing fees are not fixed and vary significantly based on the vehicle’s make, model, and year, the valuation assessed by Nigerian Customs Service, and prevailing government policies and tariffs at the time of arrival. The Client is responsible for these fees.

3. PRICING, BUDGET, AND DOCUMENTATION

3.1 RECEIPT ISSUANCE
  • Auction houses do not issue purchase receipts directly to the Client when utilizing Copart Cars Bidding and Auto Care Limited’s license. Copart Cars Bidding and Auto Care Limited shall issue the official, final purchase receipt to the Buyer. The Buyer expressly agrees to rely solely on the official receipt issued by Copart Cars Bidding and Auto Care Limited for all transactional purposes.

4. 15% SECURITY DEPOSIT (MANDATORY)

4.1 Purpose and Requirement
  • A mandatory 15% refundable security deposit of the Buyer’s target purchase price is required before any bidding activity commences.
4.2 Refund and Forfeiture
  • Refund: If the Client is unsuccessful in winning any bid, the entire deposit is refundable.
  • Forfeiture: If the Client wins a bid but fails to pay the full amount within seventy-two (72) hours, the deposit is forfeited.
  • When communication with the buyer results to inability to deliver, the legal representative of the company will hereby inform the buyer and refund will be processed and return within (30) thirty working days from the day of such communication.
4.3 Application of Deposit

The deposit may be applied toward shipping, trucking, clearing, or the remaining vehicle balance.

4.4 Payment for Won Bid

The Buyer is to pay through Copart Cars Bidding and Auto Care Limited. Proof of payment must be submitted immediately.

5. DELIVERY TIMELINE

The estimated timeline is 50 days. The Company is not liable for delays arising from customs, port congestion, vessel delays, weather, strikes, policy changes, or documentation issues.

6. VEHICLE CONDITION - AS-IS SALE

The Client acknowledges and agrees that all vehicles acquired from U.S. auctions are sold ASIS, WHERE-IS, with all faults, and without any express or implied warranty or guarantee of any kind whatsoever from Copart Cars Bidding and Auto Care Limited.

Copart Cars Bidding and Auto Care Limited make no representations, warranties, or guarantees regarding:

  • The mechanical or operational condition of the vehicle.
    The cosmetic state, paint quality, or hidden damage.
  • The vehicle’s previous accident, repair, or damage history.
  • The status or functionality of safety features (e.g., airbags).
  • The accuracy of the odometer reading or mileage.
  • Any future performance or maintenance requirements.

The Buyer accepts full and sole responsibility for all necessary repairs, maintenance, and future
performance of the vehicle after the purchase.

7. ENTIRE AGREEMENT

This document constitutes the full agreement between Copart Cars Bidding and Auto Care Limited and the Buyer. No verbal promises are binding unless documented and signed.

You agree to indemnify, and hold Copart Cars Bidding and Auto Care Limited, its officers, employees, agents, and affiliates harmless from any and all, claims, liabilities, damages, costs, and expenses (including legal fees) arising from your breach of these Terms or misuse of the Services.

8. TERMINATION OF SERVICES

  • We reserve the right to terminate or suspend your access to our Services at any time for any reason, including but not limited to suspected fraud, violation of these Terms, or unlawful conduct.

9. FORCE MAJEURE

  • We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, labor strikes, or disruptions in communication systems.

10. DISPUTE RESOLUTION AND LEGAL REMEDIES

  • All disputes arising out of or in connection with this agreement shall be resolved ‘exclusively’ through Alternative Dispute Resolution (ADR) mechanisms such as and mainly mediation or resolution via the Multidoor Courthouse, within the jurisdiction of Lagos state.
  • Where a client resorts to the use of law enforcement agencies to threaten, harass, or coerce Copart Cars Bidding and Auto Care Limited and its officers, directors, employees and agents after executing this agreement, such action shall be considered a fundamental breach, rendering the contract void ab initio.

11. ADJUSTMENTS AND AMENDMENTS

  • These Terms may be amended by Copart Cars Bidding and Auto Care Limited at any time without notice. Additionally, specific agreements entered into with individual clients may be modified.

12. GOVERNING LAW

  • These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without giving effect to any conflict of law principles. The parties agree that any dispute, claim, or controversy arising out of or relating to the or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (Collectively, “Disputes”) will be settled by binding Mediation between you and Copart Cars Bidding and Auto Care Limited.

13. ENTIRE AGREEMENT, SEVERABILITY, AND AMENDMENTS

These Terms constitute the entire agreement between you and Copart Cars Bidding and Auto Care Limited regarding the Services and supersede all prior or contemporaneous understandings, agreements, or communications. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Copart Cars Bidding and Auto Care Limited reserves the right to amend these Terms at any time without notice. Continued use of the Services after such amendments constitutes your acceptance of the revised Terms.

All payments shall be made to the company account.
